Terms of Use and Online Sales

These Terms of Use and Online Sales (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and N7Player (“we,” “us,” or “our”) governing your access to and use of the N7Player media player application and website. Please read these Terms carefully and in their entirety before using the application. By downloading, installing, accessing, or using N7Player in any way, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, you must immediately cease use of the application and website.

1. About N7Player

N7Player is a media player software application. Our sole business is the development, maintenance, and licensing of this application. We do not, under any circumstances, provide, host, stream, aggregate, curate, resell, or sublicense any media content whatsoever, including but not limited to television channels, movies, series, sports broadcasts, radio streams, or any other audio or video material.

The application is designed exclusively to play content from sources that you (the user) independently choose and provide, typically via a playlist URL or local media file. N7Player functions purely as a technical interface between your chosen content source and your screen. We have no control over the nature, legality, quality, or availability of any content you choose to access through the application, and we accept no responsibility for it.

N7Player reserves the right to modify, suspend, or discontinue any aspect of the application at any time, with or without notice, including the introduction of new features, the removal of existing ones, or updates that may alter the user experience.

2. Eligibility

To use N7Player, you must:

• Be at least 16 years of age (or the minimum age required by the laws of your country of residence to enter into a binding contract);
• Have the legal capacity to enter into and be bound by these Terms;
• Not be prohibited from receiving or using the application under the laws of any jurisdiction.

By using N7Player, you represent and warrant that you meet all eligibility requirements. If you are using the application on behalf of a legal entity (a company, organization, etc.), you represent that you are authorized to bind that entity to these Terms.

3. User Account

3.1 Account Registration

To access the subscription features of N7Player, you must create an account by providing a valid email address and choosing a secure password. You agree to provide accurate, complete, and current information during registration, and to keep this information up to date throughout the life of your account.

3.2 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Choose a strong, unique password and not share it with any third party;
• Immediately notify us via our Support page if you become aware of any unauthorized use of your account or any other security breach;
• Ensure that you log out from your account at the end of each session on shared or public devices.

N7Player cannot and will not be held liable for any loss or damage arising from your failure to comply with these security obligations.

3.3 Account Responsibility

You are responsible for all activity on your account. If you allow others to use your account or share your credentials, you remain fully responsible for ensuring that such use complies with these Terms. Account sharing beyond the device limits of your subscription plan is strictly prohibited.

4. License Grant and Restrictions

4.1 License Grant

Subject to your full compliance with these Terms and upon activation of a valid subscription, N7Player grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the N7Player application on the number of devices specified by your active subscription plan, solely for your own personal and lawful use.

4.2 License Restrictions

This license does not permit you to:

• Copy, modify, adapt, translate, or create derivative works based on the application or any part of it;
• Reverse engineer, decompile, disassemble, or attempt to extract the source code of the application;
• Sell, sublicense, rent, lease, lend, or otherwise transfer your license or access rights to any third party;
• Remove, obscure, or alter any copyright notices, trademarks, or other proprietary rights notices displayed within the application;
• Use the application in any way that violates applicable law or these Terms;
• Use automated scripts, bots, or other means to interact with or extract data from the application or our servers;
• Circumvent, disable, or interfere with any security features, license verification mechanisms, or access controls built into the application.

5. Legal Use Only, Content Responsibility

N7Player is designed and licensed exclusively for lawful personal use. By using this application, you represent, warrant, and irrevocably agree that:

• You will only use the application to play content for which you hold the appropriate rights, licenses, or lawful authorizations;
• You will not use N7Player to access, stream, reproduce, distribute, publicly perform, or otherwise exploit any content in violation of applicable copyright laws, neighboring rights, intellectual property rights, licensing agreements, broadcast regulations, or any other applicable national or international law;
• You understand and acknowledge that N7Player does not verify, monitor, filter, or endorse any content accessed through the application, and has no technical means to do so;
• You are the sole person responsible for selecting your content sources and for ensuring their legality in your jurisdiction.

You are solely, exclusively, and fully responsible for any content you choose to load and play through N7Player. Any use of the application to access unauthorized, pirated, unlicensed, or otherwise unlawful content is strictly and absolutely prohibited and constitutes a material breach of these Terms.

N7Player expressly disclaims all liability for any illegal, unauthorized, or infringing use of the application by its users. Users who engage in illegal activity through the application may be subject to civil litigation and criminal prosecution under applicable national and international law. N7Player reserves the right to cooperate fully with law enforcement authorities and intellectual property rights holders in any investigation of unlawful use of the application.

6. No Content Provided

N7Player does not, at any time or under any circumstances, provide, offer, distribute, sell, resell, or make available any media content, channels, live streams, video-on-demand libraries, subscription content bundles, or playlist files to any user. The application is delivered as a pure technical media player. No content (paid, free, trial, or otherwise) is included, bundled, implied, advertised, or made available through our platform, website, or application at any point during or after subscription activation.

Any third party that advertises, offers, or promotes content described as “working with N7Player,” “compatible with N7Player,” or any similar designation does so entirely independently, without our knowledge, endorsement, partnership, or authorization. N7Player has no affiliation with any content provider or IPTV service and derives no commercial benefit from any such association.

N7Player does not endorse, recommend, or promote any specific content provider, IPTV service, playlist service, or any other media distribution service. We reserve the right to take immediate legal action, including seeking injunctive relief and damages, against any individual or entity that uses our name, brand, logo, or trademark in connection with the marketing, promotion, or sale of any content service, without our prior, explicit written consent.

7. Prohibited Activities

In addition to the restrictions set out elsewhere in these Terms, you agree that you will not, under any circumstances:

• Use the application for any purpose that is illegal, harmful, fraudulent, deceptive, threatening, harassing, defamatory, or otherwise objectionable;
• Attempt to gain unauthorized access to any part of the application, our servers, our databases, or any systems or networks connected to N7Player;
• Introduce viruses, malware, ransomware, Trojan horses, or any other malicious or technologically harmful material into our platform;
• Use the application or our platform in a way that could damage, disable, overburden, or impair our servers or networks, or interfere with the use of N7Player by other users;
• Attempt to probe, scan, or test the vulnerability of any N7Player system, network, or security measure without our prior written authorization;
• Use the application for commercial purposes without our prior written authorization , including but not limited to reselling access, operating a shared account commercially, or incorporating the application into a paid service;
• Impersonate any person or entity, or falsely represent your affiliation with any person, entity, or N7Player.

8. Subscription Plans and Online Sales

8.1 Available Plans

N7Player offers several subscription plans, each granting a time-limited or perpetual license to use the application on a defined number of devices. The characteristics of each plan, including pricing, duration, the number of authorized devices, and the number of importable playlists, are displayed on our pricing page at the time of purchase and may be updated at any time. The plan details applicable to you are those displayed at the moment you complete your purchase.

8.2 Free Trial

New users may access a free trial period after installing the application. The trial is intended solely to allow you to evaluate the technical features of the player. The trial does not include any content and is subject to the same Terms and legal use conditions as a paid subscription. At the end of the trial period, continued access to the full feature set requires activation of a paid subscription.

8.3 Order Process and Activation

To purchase a subscription, you must: (i) create a verified N7Player account using a valid email address, (ii) select your desired subscription plan, (iii) complete payment through one of the supported payment methods. Upon receipt of a confirmed successful payment, the subscription license is immediately activated and linked to your account email address.

No MAC address or manual device registration is required during the purchase process. Your devices are automatically registered to your account the first time you sign in to the N7Player application on each device. Each subscription plan defines the maximum number of devices that may be simultaneously associated with your account. Once the device limit for your plan is reached, additional devices cannot be added without upgrading to a higher-tier plan or removing an existing authorized device by contacting our support team.

You are responsible for keeping your account credentials secure. If unauthorized parties gain access to your account, all devices they connect will count toward your device limit. N7Player cannot be held responsible for device-slot consumption caused by unauthorized account access resulting from your failure to secure your credentials.

8.4 Payment Methods

Payments are processed securely through Stripe and PayPal, both of which are PCI-DSS Level 1 certified payment processors, the highest security standard in the payment card industry. N7Player does not access, store, handle, or transmit your credit card number, debit card number, bank account details, or any other financial credentials. Your payment information is processed exclusively within the secure infrastructure of Stripe or PayPal, governed entirely by their respective privacy policies and security certifications.

By completing a payment, you confirm that you are the authorized holder of the payment method used, that you have sufficient funds or credit available, and that you have the legal right to use that payment method for this transaction.

8.5 Pricing and Taxes

All prices displayed on our website are inclusive of applicable taxes where required by law, unless otherwise stated. N7Player reserves the right to modify its pricing at any time. Price changes do not affect subscriptions already purchased and active; they apply only to future purchases. You are responsible for any applicable taxes, duties, or charges imposed by your local jurisdiction beyond what is already included in the displayed price.

8.6 Refund Policy

All sales of digital subscription licenses are final. Due to the digital and immediately activated nature of our product, we do not provide refunds once a subscription has been activated and access to the application has been granted. This policy is consistent with applicable consumer protection laws for digital services where the content has been made available immediately upon purchase with the user's consent.

If you experience a technical malfunction of the application that prevents you from using it as described, we strongly encourage you to contact our support team before any other step. We are committed to resolving legitimate technical issues and will make every reasonable effort to do so. Refund requests submitted within 14 days of purchase, where the subscription has not been used and no content has been streamed, may be considered on a strictly case-by-case basis at our sole discretion.

8.7 Subscription Renewal and Expiry

Fixed-term subscriptions (e.g., 6 months, 1 year) do not auto-renew. Your subscription will expire at the end of the term unless you manually renew it on our website. Lifetime subscriptions do not expire and do not require renewal for the life of the product. N7Player does not guarantee indefinite continuation of the service but will make commercially reasonable efforts to maintain the platform.

8.8 Subscription Suspension and Termination by N7Player

N7Player reserves the right to immediately suspend or permanently terminate a user's subscription account, without prior notice and without any obligation to provide a refund, in the event of:

• A material breach of any provision of these Terms;
• Any activity we reasonably determine to be fraudulent, abusive, or harmful to N7Player, other users, or third parties;
• Use of the application to access or distribute unlawful or infringing content;
• Sharing account credentials or device authorizations in violation of the plan limits;
• Any attempt to interfere with, bypass, or exploit the technical systems of N7Player.

8.9 Payment Fraud and Chargebacks

Any subscription purchased using stolen, cloned, unauthorized, or fraudulent payment credentials will be immediately and permanently cancelled upon detection. The associated account and all devices registered to it will be permanently blocked from all N7Player services. The incident will be reported to the relevant payment processors, financial institutions, and, where applicable, to law enforcement authorities. Unauthorized chargebacks initiated in bad faith, where the subscription was legitimately activated and used, may also be reported and contested through the appropriate payment processor dispute resolution process.

9. Intellectual Property

N7Player and all its components , including but not limited to its name, logo, trademark, graphical user interface, icons, design elements, source code, algorithms, databases, documentation, and all other related materials , are the exclusive intellectual property of N7Player and its licensors, protected by applicable copyright, trademark, patent, trade secret, and other intellectual property laws.

These Terms do not convey or transfer to you any ownership interest in or title to the application or any of its components. The license granted to you is limited strictly to the right to use the application as described in these Terms. Any reproduction, modification, distribution, public display, or other use of N7Player's intellectual property without our prior explicit written permission is strictly prohibited and may result in legal action.

If you believe that content or material on our platform infringes your intellectual property rights, please notify us promptly via our Support page with full details of the alleged infringement.

10. Privacy

Your use of N7Player is also governed by our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy explains in detail what personal data we collect, how we use it, with whom we share it, and your rights in relation to your data. By accepting these Terms, you also acknowledge that you have read and understood our Privacy Policy.

11. Disclaimer of Warranties

To the maximum extent permitted by applicable law, N7Player is provided strictly on an “as is” and “as available” basis, without warranty of any kind. We expressly disclaim all warranties, whether express, implied, statutory, or otherwise, including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement;
• Any warranty that the application will meet your specific requirements or expectations;
• Any warranty that the application will be available at all times, uninterrupted, timely, secure, or error-free;
• Any warranty regarding the accuracy, reliability, or completeness of any information provided through the application;
• Any warranty regarding the quality, availability, or lawfulness of any content you access through the application , that responsibility lies entirely with you and your content sources.

Some jurisdictions do not allow the exclusion of implied warranties. In such cases, the above exclusions apply to the fullest extent permitted by applicable law.

12. Limitation of Liability

To the fullest extent permitted by applicable law, N7Player and its parent, subsidiaries, affiliates, officers, directors, employees, agents, partners, suppliers, and licensors shall in no event be liable to you or any third party for any:

• Indirect, incidental, consequential, special, exemplary, or punitive damages of any kind;
• Loss of profits, revenue, data, goodwill, or business opportunities;
• Damages arising from your use of , or inability to use , the application, regardless of the cause or theory of liability;
• Damages arising from unauthorized access to, or alteration or loss of, your data or transmissions;
• Damages arising from the content you choose to access, stream, or play through the application;
• Damages caused by interruptions, bugs, viruses, or errors in the application or its servers.

In all cases, and regardless of the theory of liability, N7Player's maximum total liability to you for any claims arising out of or relating to these Terms or your use of the application shall not exceed the total amount paid by you for your active subscription during the twelve (12) months immediately preceding the event giving rise to the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless N7Player and its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable legal fees) arising out of or relating to:

• Your violation of these Terms;
• Your use of the application in a manner inconsistent with these Terms;
• Your access to or use of any content , lawful or unlawful , through the application;
• Any infringement or misappropriation of any intellectual property or other rights of any third party by you;
• Any claim brought by a third party arising from your conduct or content.

14. Changes to These Terms

We reserve the right to update, modify, or replace these Terms at any time, at our sole discretion. We will provide notice of material changes by sending an email to the address associated with your account and by posting the updated Terms on our website with a revised “Last updated” date. For non-material changes, we may not provide individual notice, but the most current version of these Terms will always be available on this page.

Your continued use of N7Player after the effective date of any updated Terms constitutes your binding acceptance of the revised Terms. If you do not agree with the changes, you must stop using the application before the effective date of the revision. We encourage you to review these Terms regularly.

15. Governing Law and Jurisdiction

These Terms and any dispute arising out of or in connection with them , including any question regarding their existence, validity, or termination , shall be governed by and construed in accordance with applicable law. Users in the European Union additionally benefit from any mandatory protections afforded by the consumer protection laws of their country of residence, which these Terms do not override.

16. Severability

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, it shall be deemed deleted. The remainder of these Terms shall continue in full force and effect, and the invalid or unenforceable provision shall not affect the validity or enforceability of any other provision.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire and exclusive agreement between you and N7Player with respect to the subject matter hereof, and supersede all prior or contemporaneous agreements, representations, warranties, and understandings , written or oral , between the parties relating to such subject matter.
